The promoter of the Spend & Invest program (hereinafter, the "Program") is Satispay Invest S.A. ("Satispay"), an investment firm authorized and regulated by the Commission de Surveillance du Secteur Financier (no. P00000555).
The Program is valid from 1 September 2026 to 30 November 2026 (hereinafter, the "Promotional Period").
The Program is open to consumer users (the "Beneficiaries") who use the Satispay app and who have received a specific communication with the details of the initiative, identified on the basis of homogeneous, objective and predetermined criteria.
To participate in the Program, the Beneficiary must meet both of the following conditions (without prejudice to the provisions of paragraph 5 below for the purposes of the payment of the Spend & Invest Bonus for each Reference Month):
(i) Be the holder of an active physical or virtual Satispay Card, with an associated subscription plan (therefore having accepted the relevant terms and conditions of Satispay and of the subscription services), by requesting it and successfully activating it by 15 September 2026. Those who do not already have one must request and successfully activate it, with an associated subscription plan, by that date in order to participate. The Satispay Card and subscription services are offered by Satispay Europe S.A.
(ii) Be an active Satispay user, holder of a Stocks and ETFs account, and therefore have accepted the relevant terms and conditions of Satispay and of the partner Upvest Securities Gmbh.
The Spend & Invest Bonus applies exclusively to payments made with the Satispay Card that are completed and accounted for in our systems. Transactions that are still pending do not contribute to the calculation of the Spend & Invest Bonus. For calculation purposes, the amount actually accounted for is considered, even if it differs from the amount initially authorized.
The following transaction categories are excluded:
In the event of cancellation, refund or reversal, in whole or in part, of a payment made with the Satispay Card, the amount re-credited to the Beneficiary is deducted from the total eligible transactions for the purposes of calculating the Spend & Invest Bonus.
The Spend & Invest Bonus is equal to 4% of the total amount of eligible payments made with the Satispay Card and accounted for in the Reference Month (net of any refunds, reversals and other re-credits described in paragraph 3). The result is rounded to the nearest euro cent.
The Spend & Invest Bonus is subject to a maximum limit of €50 for each calendar month included in the Promotional Period. The limit applies month by month: it cannot be cumulated across different months and any excess over the monthly cap is not recoverable in subsequent months.
Example. A user spends €1,200 with the Satispay Card in September (and the corresponding amount is fully accounted for in the same month). The Spend & Invest Bonus for September is €48 (€1,200 × 4%).
Example. A user spends €3,500 with the Satispay Card in November. 4% would be €140, but the monthly maximum limit is €50: the Spend & Invest Bonus for November is €50, and the excess cannot be recovered or carried over to other months.
"Reference Month" means each calendar month included, even partially, in the Promotional Period.
For each Reference Month, the Spend & Invest Bonus accrues and is paid if, even for only one day of the month, the Beneficiary has met the conditions set out in paragraph 2 above. The Spend & Invest Bonus is not paid if the conditions set out in paragraph 2 above were not met in the Reference Month.
The Spend & Invest Bonus accrued in a Reference Month is paid by the 15th calendar day of the month following the month in which the conditions set out in paragraph 2 above were met (for example, for the Spend & Invest Bonus for November, by 15 December 2026). If that calendar day is not a business day, the credit will be made on the immediately following business day.
The credit is made to the Beneficiary's Stocks and ETFs account in the form of shares, including fractional shares, of the fund Vanguard FTSE All-World UCITS ETF (USD) Accumulating (ISIN IE00BK5BQT80, ticker VWCE) or another fund chosen by Satispay and communicated to the user.
The value of the credited shares is determined based on the ETF price on the settlement date of the credit: since the price varies depending on market performance, the number of shares actually credited may differ from the number resulting on a different date. No Satispay or partner Upvest Securities Gmbh costs or fees are applied in relation to the transmission and execution of orders relating to the Spend & Invest Bonus.
The accrued Spend & Invest Bonus may not be paid in the Reference Month in the following cases:
We reserve the right to suspend and/or revoke the Spend & Invest Bonus if we detect:
In such cases, the Spend & Invest Bonus will be suspended immediately and the Beneficiary will receive an email notification. If we detect systematic abuse of the Program or of other promotions or programs organized by companies of the Satispay Group, including in cooperation with other beneficiaries and/or users, we reserve the right to deactivate the account and to suspend and/or terminate the Satispay Consumer service, the subscription services linked to the plan and/or Satispay Invest with immediate effect.
Investments involve risks, including the potential partial or total loss of the invested capital. The value of the fund shares received as an Spend & Invest Bonus is subject to changes and market fluctuations depending on the performance of financial markets, and past returns are not indicative of future returns. Such value may therefore increase or decrease compared with the value of the shares at the time they are awarded. Fractional shares and ETFs involve additional risks and do not carry voting rights.
The investment services of execution and custody relating to the Stocks and ETFs account are provided by our partner Upvest Securities Gmbh, authorized and supervised by BaFin.
When investing in shares or ETFs, any gains generated are subject to taxation according to the applicable tax legislation. In this case, it is the user's responsibility to declare the income deriving from the transactions and to pay the taxes according to the applicable legislation.
We reserve the right to modify, suspend and/or cancel the Program at any time, communicating the decision in advance by App notification, email or website with reasonable notice. The modification, suspension and/or cancellation will not affect the Spend & Invest Bonus already accrued before the effective date of the modification.
We process the personal data of Beneficiaries in compliance with the applicable personal data protection legislation. For further information, please refer to the privacy policy.
This Program, and any dispute arising out of or in connection with it, is governed by and interpreted in accordance with Luxembourg law, without prejudice to the fact that the law of the Beneficiary's place of residence or domicile may also apply in the event of mandatory provisions that are more favorable to the consumer. For the resolution of any dispute, the court of the Beneficiary's place of residence or domicile shall have jurisdiction.
